ARTICLES OF INCORPORATION

FIRST: The undersigned MICHAEL L.TODD, ALBERT T. LANDBERG JR. and JIMMIE S. FARIS, whose Post office addresses are 1414-C-Wright Circle, Bolling AFB, D.C. 20336, 13700 Beauwick Courtv Wheaton, Maryland 20906, and 9010 Home Guard Drive Burke, Virginia 22015, respectively, being at least eighteen (18) Years of age, do hereby form a corporation under the general laws of the State of Maryland.

SECOND: The name of the corporation is:

CAPITAL PC USER GROUP, INC.

THIRD: The Purposes for which the Corporation is formed are as Follows:

A. To Provide a forum for members of the IBM PC community for their mutual benefit and increased understanding and utilization of the IBM PC.

"A. To provide a forum for members of the personal computer community for their mutual benefit and increased understanding and utilization of the personal computer.***"

B. To encourage experimentation and research in the current and Potential uses of the IBM PC.

C. To Provide an opportunity for all users of the IBM PC to exchange ideas, knowledge and experience for the enrichment of all concerned.

D. To Provide opportunity for both formal and informal education in computer applications, hardware and software technologies.

E. To Provide a medium of communication with computer groups in other areas (geographical and orientation).

F. To Provide an opportunity for the formation of special interest groups.

G. To Provide a medium for software exchange of Public domain and contributed Programs. Software "Piracy" shall not be tolerated nor discussed in supportive terms at sanctioned meetings of this organization.

FOURTH: The Post office address of the Principal office of the Corporation in Maryland is 13700 Beauwick Court, Wheaton, Montgomery County Maryland 20906. The name and Post office address of the resident agent in Maryland are ALBERT T. LANDBERG, JR., 13700 Beauwick Court Wheaton Maryland 20906.

FIFTH: THE CORPORATION SHALL NOT BE AUTHORIZED TO ISSUE CAPITAL STOCK.

SIXTH: The number of directors of the Corporation shall be three (3) which number may be increased or decreased Pursuant to the by-laws of the Corporation, and the names of the directors who shall act until the first meeting or until their successors ape duly chosen and qualified are MICHAEL L. TODD, ALBERT T. LANDBERG, JR. AND JIMMIE S. FARIS.

SEVENTH: The following Provisions are hereby adopted for the Purpose of defining, limiting and regulating the Powers of the Corporation and of the directors and members:

A. No one member shall have the authority to obligate the Corporation either for Performance or for money. Such obligation shall be by majority vote of the board of directors.

B. No Person shall be denied the Privilege of membership in this organization for reason of race, sex, national origin or age.

C. No Personal gain shall inure to any member by reason of his membership in this organization.

D. Upon dissolution of this organization, all assets of the Corporation shall be donated to a recognized charity7 said charity to be selected by the board of directors at the time of dissolution.

EIGHTH: The duration of the Corporation shall be Perpetual.

IN WITNESS WHEREOF, WE have signed these Articles of Incorporation on May 1982, and severally acknowledge the same to be our act.
